Bylaws

The Executive Board should be made up of thirteen positions consisting of the President, Vice President of Education and Conferences, Vice President of Membership, Vice President of Communications and Technology, Secretary, Treasurer, President-Elect, Previous Past President, two Commercial Representatives, and three or four Board Members-at-large depending on if the President-Elect position is occupied or not. The President, Vice President of Communications and Technology, Vice President of Education and Conferences, and Treasurer will maintain their position for a two year term. The Vice President of Membership, Secretary, and Board Members-at-Large will maintain their position for a one year term. Commercial Representatives will maintain their positions for two year terms, beginning in alternate years, so a new Commercial Representative begins his/her term each year. President-Elect will maintain the position for a one year term prior to presidency. Any previous president may elect to stay on the board as a past president for up to five years in an advisory capacity and shall maintain their voting status for two years.

Membership of the organization will be comprised of PRIMARY members, INDIVIDUAL members, ASSOCIATE members and COMMERCIAL Members. A PRIMARY member is defined as a post-secondary institution operating in the state of Florida. An INDIVIDUAL member is defined as a person who is currently employed or retired from a postsecondary institution operating in the state of Florida. An ASSOCIATE member is defined as a post-secondary institution operating outside the state of Florida. A COMMERCIAL member is defined as a business or organization that regularly performs services which support post-secondary institutions in the state of Florida. The Vice President of Membership will review all membership applications to determine the type of membership and will forward a recommendation to the Executive Board. The Executive Board will approve all membership applications. Annual membership of the organization will be effective from July 1 until June 30.

All elected positions of the Executive Board must be PRIMARY members of the Association. PRIMARY members will hold an annual election once a year to elect officers of the Executive Board to a one or two year term. The election should coincide with the Annual conference and may be conducted in person or electronically at the discretion of the Executive Board.

Under no circumstances will a membership list be sold to a nonmember or distributed to other organizations without the consent of the association’s membership and Executive Board.

The annual membership amount due for a PRIMARY member is indicated on the Membership Application. For voting purposes, a PRIMARY member in good standing is allowed one vote. A PRIMARY member may identify as many as two representatives to act as the point of contact to be notified of sponsored functions and activities.

The annual membership amount due for an ASSOCIATE member is indicated on the Membership Application. An ASSOCIATE member may identify as many as two representatives to act as the point of contact to be notified of sponsored functions and activities. An ASSOCIATE member has no voting privileges.

The annual membership amount due for an INDIVIDUAL Membership is indicated on the Membership Application. INDIVIDUAL members will be notified of sponsored functions and activities. An INDIVIDUAL member has no voting privileges.

The annual membership amount due for a COMMERCIAL member is indicated on the Membership Application. COMMERCIAL members may identify as many as two representatives to be notified of sponsored functions and activities. A COMMERCIAL member has no voting privileges.

If an elected Executive Board member needs to be replaced before the end of the term, the remaining Executive Board members will recommend a replacement and the President will appoint. In the event that the President must be replaced before the end of the term, the President-Elect will assume the position.

Bylaws may be amended by a majority vote of Primary members voting. Amendments may be submitted by the Executive Board or by petition of the members. Voting may be conducted either in person or electronically at the discretion of the Executive Board.
